Terms of Service
These terms govern your use of Bayqus. By creating an account or installing the agent, you agree to them. Please read them alongside our Privacy Policy, Data Processing Agreement and SLA.
1. Acceptance of these terms
By registering for, accessing or using Bayqus — including installing the monitoring agent on any device — you agree to be bound by these Terms of Service. If you are agreeing on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the service.
2. Description of the service
Bayqus is a managed-IT monitoring platform and trademark of ONYX, a technology company established in 2019. It monitors servers, PCs and network devices for uptime and health using two layers: external uptime checks of public endpoints, and an agent that runs on your devices and pushes health metrics to the Bayqus core over an outbound TLS connection. Bayqus provides dashboards and alerts based on that data.
3. Accounts and eligibility
You must provide accurate registration information and keep it current. You are responsible for the credentials used to access your account and for all activity that occurs under it. You must be legally able to enter into a contract to use Bayqus. Notify us promptly of any unauthorised use of your account.
4. Acceptable use
You may use Bayqus only to monitor devices you own or are otherwise authorised to monitor.
You also agree not to: use the service unlawfully; interfere with or disrupt the service or its infrastructure; attempt to gain unauthorised access to any part of the service; or use it in a way that infringes the rights of others.
5. The monitoring agent
You are responsible for installing, configuring and maintaining the agent on your endpoints, and for the endpoints themselves. The agent opens an outbound TLS connection only — it does not open inbound ports and does not require a VPN. Each device authenticates with a per-device enrollment token that you must keep secure.
The agent collects health metrics only — such as online/offline status, CPU, RAM, disk, network, service up/down, and inventory. It performs no keystroke logging, no screen capture and no productivity or activity tracking. Exactly what is collected is described in our Privacy Policy.
6. Plans and billing
Bayqus is offered under one or more plans, which may include free and paid tiers with different limits and retention periods. Billing occurs after registration — there is no purchase step at sign-up. Paid plans are billed in US dollars (USD). Fees, billing cycles, taxes, payment methods and any cancellation or refund terms will be set out when you subscribe to a paid plan.
7. Availability and SLA
We aim to keep Bayqus available and reliable. Our Service Level Agreement sets out a 99.9% monthly uptime commitment along with its targets and remedies. Planned maintenance and factors outside our control may affect availability.
8. Intellectual property
Bayqus, including its software, agent, dashboards, design and trademarks, is owned by ONYX (established 2019) and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, modify, reverse-engineer, resell or create derivative works from the service except as permitted by law or in writing by us.
9. Data ownership
You own the monitoring data your devices generate through Bayqus. We process it to provide the service, as described in our Privacy Policy and, for business customers, our Data Processing Agreement. Customers who choose the on-prem option keep their monitoring data entirely within their own infrastructure.
10. Warranties and disclaimers
Bayqus is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will detect every incident on your devices. Monitoring is an aid, not a substitute for your own operational controls.
11. Limitation of liability
Bayqus and ONYX will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of or inability to use the service. To the maximum extent permitted by law, Bayqus's total liability is limited to the fees you paid in the 12 months preceding the claim.
12. Termination
You may stop using Bayqus and close your account at any time. We may suspend or terminate your access if you breach these terms, fail to pay applicable fees, or use the service in a way that risks harm to others or to the service. On termination, your right to use the service ends; we will handle your data as described in the Privacy Policy.
13. Governing law
These terms are governed by the laws of the Republic of Azerbaijan, and any disputes will be brought before the competent courts of Azerbaijan.
14. Changes to these terms
We may update these terms as the service evolves. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you. Continued use of Bayqus after changes take effect means you accept the updated terms.
